Niccolo Serafino is a Solicitor of England and Wales with experience across corporate and commercial law, commercial contracts, litigation, insolvency, employment law and data protection. His practice combines transactional and contentious work, with particular experience in negotiating and drafting commercial agreements, advising companies and directors, managing multi-jurisdictional transactions and identifying and mitigating legal and regulatory risks. He has particular expertise in corporate matters, including share purchase agreements, shareholders’ agreements, bespoke articles of association, company restructurings, subscription agreements and convertible loan agreements. His work also includes advising directors on statutory duties and liabilities, preparing deeds of trust for nominee directors and shareholders, and advising on the subdivision and allotment of shares. Alongside transactional work, he advises on commercial agreements such as distribution, software licensing and services agreements. Niccolo also has experience in commercial litigation, where he acts for clients throughout the litigation process and works closely with Counsel, experts and other advisers. His responsibilities include preparing legal documents, assessing areas of legal risk and developing and implementing strategies for risk management and dispute resolution. Additional experience includes intellectual property rights and infringement, employment matters, insolvency and regulatory requirements, including anti-money laundering regulations. He has held the position of Partner at Wellingtons Solicitors in London, where his practice has included corporate, commercial and contentious matters. Prior to this, from October 2024 to March 2025, he worked as a Solicitor in the Corporate and Commercial department of Burlingtons Legal in Mayfair. The role provided experience in mergers and acquisitions, private equity transactions, investment agreements, partnership agreements and advising directors on their duties and responsibilities. From June 2022 to May 2023, Niccolo worked as a Solicitor at Sterling Law in London. He work included successfully pitching to and onboarding a multi-million-euro company listed on the Milan Stock Exchange for the launch of its UK market operations. He advised companies across different sectors, including high-tech businesses, on commercial contracts and corporate transactions, including share purchase agreements, shareholders’ agreements and trust documentation. His experience at Sterling Law also included negotiating and concluding an employment settlement agreement between a former CFO and a UK online bank, negotiating settlements of shareholder disputes, and advising on investment, shareholders’ and commercial agreements. One notable transaction involved negotiating with a California-based law firm and drafting a services agreement containing extensive data-policy provisions for a company providing deep weather data science services to the US market. Further work included advising directors on their duties and liabilities in relation to financial reporting obligations and representing clients in County Court proceedings, including settlement negotiations, liaison with external Counsel and instruction of experts. Niccolo began his legal career at Rawal & Co in London at the age of 19. Following a two-week period of work experience, he was offered a permanent position and progressed from work experience student to paralegal and ultimately to Solicitor. The firm has a strong contentious practice covering criminal law, family law, employment law and disputes involving small and medium-sized businesses. During this period, he represented clients in small claims litigation, advised and liaised with external Counsel on money laundering and proceeds of crime prosecutions, and represented SMEs in business-to-business litigation and debt claims. His responsibilities also included public law disputes involving local authorities, case and office management, and coordination of legal teams and experts to support the effective conduct of cases. Niccolo’s academic background includes an LL.B. (Honours) from the University of Law in London and completion of the Legal Practice Course at the same institution. He is currently pursuing a Master of Arts in Legal Studies at the University of Fribourg in Switzerland, further developing his academic focus on legal studies in an international setting. A multilingual lawyer, Niccolo is a native English and Italian speaker and is fluent in French, Spanish and Portuguese at C2 level. He also has working knowledge of Russian at A2 level. His language skills complement an international practice involving clients, transactions and legal matters across multiple jurisdictions. He holds a current SRA practising certificate and is a member of Insol Europe and ACM (Associazione Concorsualisti Milano), the Italian insolvency lawyers’ association in Milan.
